SERVICE TERMS

1. Scope of Services

Services provided by AIO CO are defined in a written proposal or statement of work agreed with the client prior to commencement. Any changes to scope must be agreed in writing, including any associated changes to timeline or pricing.

2. Client Responsibilities and Cooperation

The client agrees to provide timely access to relevant systems, information, personnel, and feedback necessary for AIO CO to perform the agreed services. Delays in providing such access may result in corresponding delays to project timelines.

3. Project Timelines and Delivery

Estimated timelines are provided in good faith based on the agreed scope and the client's timely cooperation. AIO CO will communicate promptly regarding any anticipated delays and work with the client to adjust timelines as needed.

4. Payment Terms and Invoicing

Engagements are typically structured with a deposit due at kickoff, a milestone payment at an agreed project stage, and a final payment upon delivery, as outlined in the relevant proposal or statement of work. Invoices are due upon receipt unless otherwise agreed in writing. Late payments may result in pausing of project work until payment is received.

5. Revisions and Change Requests

A reasonable number of revisions within the agreed scope are included as part of each engagement. Requests that fall outside the original scope will be assessed and, if approved, addressed through a separate change order with associated pricing and timeline impact.

6. Intellectual Property and Ownership Transfer

Upon receipt of full payment, ownership of custom deliverables developed specifically for the client under the engagement transfers to the client, excluding any pre-existing tools, frameworks, or proprietary methodologies of AIO CO, which remain the property of AIO CO and may be used in the delivered solution under a license to the client.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, and to use such information solely for the purposes of the engagement.

8. Warranties and Disclaimers

AIO CO warrants that services will be performed in a professional and competent manner consistent with industry standards. Except as expressly stated, services are provided without other warranties, whether express or implied.

9. Limitation of Liability

To the fullest extent permitted by law, AIO CO's total liability arising from any engagement shall not exceed the total fees paid by the client for the specific services giving rise to the claim.

10. Termination of Services

Either party may terminate an engagement with written notice as specified in the relevant proposal or statement of work. Upon termination, the client agrees to pay for all services performed and expenses incurred up to the date of termination.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, or significant disruptions to infrastructure or communications.

12. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, disputes shall be resolved in accordance with the governing law and jurisdiction specified below.

13. Governing Law

These Service Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

14. Amendments to These Terms

AIO CO may update these Service Terms from time to time. Material changes affecting active engagements will be communicated to clients directly. Continued use of our services after such updates constitutes acceptance of the revised terms.
